CONDITIONS OF ONLINE SALE
IMPORTANT NOTICE: These Conditions of Sale contain strict provisions in Clause 3 (Buyer Responsibilities), Clause 5 (Cancellations and Alterations), Clause 6 (Manufacturing Tolerances), and Clause 10 (Limitation of Liability). The Buyer's attention is particularly drawn to these clauses.
1. INTERPRETATION
1.1 In these Conditions, the following definitions apply:
- “The Seller” means The Box Factory Limited (registered in England and Wales under company number 02664682) trading as “Packologist”.
- “The Buyer” means the individual, firm, company, or entity who purchases Bespoke Goods from the Company via the Website.
- “Bespoke Goods” means the custom cardboard boxes, packaging, inserts, or other products manufactured and supplied by the Company to the Buyer's unique specifications configured via the online builder tool.
- “Contract” means the legally binding agreement between the Company and the Buyer for the manufacture, sale, and purchase of the Bespoke Goods, incorporating these Conditions.
- “Specification” means the custom choices made by the Buyer using the Website's builder tool.
- “Website” means the online platform operated at www.packologist.co.uk or any associated subdomain.
- “Writing” includes electronic mail (email) and other written notifications.
1.2 Any reference in these Conditions to a statute or a provision of a statute shall be construed as a reference to that statute or provision as amended, re-enacted, or extended at the relevant time.
1.3 The headings in these Conditions are for convenience only and shall not affect their interpretation.
2. THE BASIS OF THE SALE
2.1 The Seller shall sell and the Buyer shall purchase the Goods and/or the Services in accordance with any written order of the Buyer which is accepted by the Seller, subject to these Conditions. For the avoidance of doubt, the Seller may refuse any order in its absolute discretion.
2.2 Every submission of an order via the Website's online checkout process by the Buyer constitutes an offer by the Buyer to purchase the Bespoke Goods in accordance with these Conditions.
2.3 No order submitted by the Buyer shall be deemed accepted by the Company until the Company issues a formal, automated email order confirmation (“Order Confirmation”) to the Buyer, at which point the Contract is formed.
2.4 No variation to these Conditions shall be binding unless agreed in writing between the authorised representatives of the Buyer and the Seller.
3. BUYER'S RESPONSIBILITIES AND SPECIFICATIONS
3.1 Self-Configuration: The Buyer acknowledges that the Bespoke Goods are manufactured automatically on a self-service basis using the inputs entered by the Buyer into the Website's builder tool.
3.2 Input Accuracy: The Buyer is solely responsible for ensuring the absolute accuracy of the Specification, including:
- 3.2.1 All box measurements (length, width, and height).
- 3.2.2 The structural suitability of the selected box style for the Buyer's intended contents and shipping methods.
- 3.2.3 The selection of appropriate board grades, board colours, and flute thicknesses.
- 3.2.4 The quantity of bespoke goods ordered.
- 3.2.5 All print-related selections, including the artwork used, print colour, orientation, positioning and the surfaces selected for printing.
- 3.2.6 Any other additional inputs throughout the online builder tool
- 3.2.7 Ensuring that all information shown in the order summary and final design is complete and correct before submitting the order.
3.3 Artwork and Intellectual Property: *
- 3.3.1 The Buyer is solely responsible for the quality, alignment, resolution, color space, and typographical accuracy of all text, logos, graphics, and artwork uploaded to the Website.
- 3.3.2 The Buyer warrants that any artwork, graphics, or branding uploaded to the Website does not infringe the copyright, trademark, patent, or other intellectual property rights of any third party.
- 3.3.3 The Buyer shall indemnify the Company in full, on demand, and hold the Company harmless against all loss, damages, costs, and expenses (including legal fees on an indemnity basis) awarded against or incurred by the Company in connection with or paid or agreed to be paid by the Company in settlement of any claim for infringement of any patent, copyright, design, trademark, or other industrial or intellectual property rights of any other person which results from the Company's use of the Buyer's uploaded artwork.
3.4 No Proofing Service: The Company will not review, edit, or proof-check the Buyer's Specification or artwork for errors, sizing issues, formatting errors, or low resolution. The Company prints the artwork exactly as it is configured and uploaded by the Buyer.
3.5 The Website builder tool, visualisations, mock-ups, dimensional previews, 3D renderings and generated templates are provided for illustrative purposes only. The Buyer acknowledges that such representations are not engineering drawings and may not precisely reflect the final manufactured product.
3.6 Unless expressly agreed in Writing, the Company does not warrant that any Bespoke Goods configured by the Buyer will be suitable for a particular product, load weight, transit method, storage condition or intended purpose. The Buyer remains solely responsible for assessing the suitability of the selected packaging design.
4. PRICE OF THE GOODS
4.1 The price of the Bespoke Goods shall be the price quoted dynamically on the Website at the time the Buyer submits their order. The price of any order relates solely to that order and does not guarantee the price for any future or repeat order.
4.2 Except where otherwise stated on the Website, all prices are quoted exclusive of Value Added Tax (VAT) and standard delivery charges, which shall be added to the total payable at the point of checkout.
4.3 The Company reserves the right to correct any pricing, specification, calculation, configuration, delivery or technical error appearing on the Website. Where an obvious error has occurred in the displayed price or quotation, the Company shall not be obliged to supply the Bespoke Goods at the incorrect price and may cancel the order and issue a full refund.
5. TERMS OF PAYMENT
5.1 Upfront Payment: Payment in full (including the cost of the Bespoke Goods, applicable VAT, and delivery charges) must be made by the Buyer at the point of purchase via the Website's checkout system using an accepted credit card, debit card, or other approved digital payment gateway.
5.2 Commencement of Manufacture: The Company shall be under no obligation to reserve materials, queue print files, or commence the manufacture of any Bespoke Goods until cleared payment in full has been received by the Company.
5.3 No Credit Terms: Standard credit facilities or trading accounts maintained by the Buyer with The Box Factory Limited do not apply to purchases made via the Packologist Website.
6. MANUFACTURING TOLERANCES AND VARIATION
6.1 Trade Tolerances: The Bespoke Goods are manufactured from organic and recycled materials subject to environmental variances. The Buyer agrees that the following industry-standard trade tolerances shall apply to the Contract and that Bespoke Goods falling within these tolerances shall not be deemed defective, non-conforming, or unfit for purpose:
- 6.1.1 Dimensional Tolerance: A manufacturing variance of up to +/- 3mm on all specified internal and external measurements is accepted.
- 6.1.2 Board Substance and Thickness: Variations in board weight, paper caliper, and flute thickness may occur due to board mill manufacturing variations and atmospheric humidity.
- 6.1.3 Colour and Print Variations: * Exact matching of print ink colors (to Pantone values) cannot be guaranteed to 100% accuracy. Colour rendering will vary significantly depending on which linerboard is chosen as the printing substrate.
- Slight shifting, ink registration variances of up to 3mm, or minor hickeys/flecks naturally occurring in recycled board fibers shall not constitute grounds for rejection.
- Flexographic print on corrugated substrates may exhibit ribbing or flute lines visible through the print.
- 6.1.4 Delivery Quantity: The Seller will use reasonable endeavours to manufacture and deliver the quantity of Bespoke Goods ordered. Due to the nature of corrugated packaging manufacturing, the quantity delivered may vary by up to 10% above or below the quantity ordered. The Buyer will initially be charged for the quantity ordered. Any excess Goods delivered will be supplied at no additional charge. Where fewer Goods are delivered, the Seller will issue the Buyer with a credit for the shortfall.
6.2 Samples: Samples are produced for evaluation purposes only and, due to differences in materials, storage conditions and manufacturing methods, may vary from Bespoke Goods produced during a full manufacturing run. The Buyer agrees that the following sample-specific tolerances and variations shall apply:
- 6.2.1 Any sample supplied by the Seller is intended to allow the Buyer to assess the approximate dimensions, style, construction, board grade and general suitability of the proposed Bespoke Goods before placing a full production order.
- 6.2.2 Samples are manufactured individually using a CAD cutting table and are produced using a different process from the machinery and production methods used for full manufacturing runs. As a result, the cut edges, creases, slots, joints, finish and overall appearance of a sample may differ from those of the Bespoke Goods supplied as part of a full production order.
- 6.2.3 Boards used to produce samples may be stored and handled differently from boards used during a full manufacturing run. The sample board may therefore contain a higher or lower level of moisture and may exhibit minor differences in stiffness, thickness, flexibility, colour, surface appearance or performance.
- 6.2.4 Samples can differ from full manufacturing runs due to the manufacturing variance of a full run explained in Clause 6.1.1.
- 6.2.5 Samples are supplied unprinted and do not represent any printed finish. They do not guarantee the appearance, positioning, colour, registration or quality of print in a production run.
- 6.2.6 The Buyer remains responsible for testing and assessing whether the sample and proposed packaging are suitable for the Buyer's products, packing process, load weight, storage conditions, handling requirements and transportation methods.
7. CANCELLATION AND ALTERATIONS
7.1 Custom Exemption: The Buyer acknowledges and agrees that because the Bespoke Goods are entirely manufactured, cut, printed, and constructed to the unique Specifications of the Buyer, the Buyer has no legal right to cancel or amend the Contract once the Order Confirmation has been issued and manufacturing processes or pre-press design setup has commenced.
7.2 Statutory Cancellation Exclusion: For the avoidance of doubt, the standard 14-day cancellation or cooling-off period under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 (or any equivalent consumer protection legislation) does not apply to contracts for the supply of custom-made, personalised, or bespoke goods.
7.3 Discretionary Amendments: If the Buyer notices an error in their configuration immediately after checkout, they must notify the Company via the designated Packologist support email. The Company may, at its absolute and sole discretion, permit an alteration or cancellation only if the order has not yet entered pre-press or material queue processing. The Company reserves the right to charge an administration fee to cover processing costs for any such permitted change.
8. DELIVERY
8.1 Delivery Address: Delivery of the Bespoke Goods shall be made by the Company's transport or a third-party courier service to the address specified by the Buyer during the online checkout process.
8.2 Estimated Lead Times: Any dates or delivery lead times quoted on the Website or on the Order Confirmation are approximate estimates only. While the Company will make every reasonable effort to deliver the Bespoke Goods within the estimated timeframe, time of delivery shall not be of the essence of the Contract.
8.3 Delayed Delivery: The Company shall not be liable for any direct, indirect, or consequential loss, cost, damage, charges, or expense caused directly or indirectly by any delay in delivery.
8.4 Failed Delivery Attempts: If the Buyer fails to take delivery of the Bespoke Goods or fails to provide adequate delivery instructions, access, or authorisation at the time stated for delivery:
- 8.4.1 Risk in the Bespoke Goods shall pass immediately to the Buyer.
- 8.4.2 The Bespoke Goods shall be deemed to have been delivered.
- 8.4.3 The Company may store the Bespoke Goods until physical delivery can be re-arranged, and charge the Buyer for all reasonable costs of storage, redelivery, and additional handling.
- 8.4.4 If the Company is unable to contact the Buyer, or if multiple attempts to deliver the Bespoke Goods have been unsuccessful, the Company may continue to store the Bespoke Goods for a period of up to two months from the date of the first failed delivery attempt. If delivery has not been successfully rearranged and completed within that period, the Company may dispose of the Bespoke Goods without further liability to the Buyer.
9. RISK AND PROPERTY
9.1 Passing of Risk: Risk of damage to or loss of the Bespoke Goods shall pass to the Buyer upon delivery. Where the Buyer is responsible for unloading the Goods, risk shall pass when the delivery vehicle arrives at the specified delivery address, before unloading begins.
9.2 Bespoke Tooling Property: Any bespoke tooling and printing stereos purchased by the Buyer shall remain the Buyer's property. Tooling charges are payable once only and will not be charged again on repeat orders using the same tooling.
The Seller will store the Buyer's tooling for a minimum of two years from the date of the most recent order in which it was used. Each repeat order using the tooling will restart this two-year storage period.
After this period, the Seller may dispose of the tooling and printing stereos without further notice to the Buyer. Continued storage may be agreed in advance at the Seller’s discretion.
The Buyer may request the return of its tooling and printing stereos at any time before disposal. The Buyer shall be responsible for all reasonable packaging, handling and delivery costs associated with their return.
10. WARRANTIES, DEFECTS, AND LIMITATION OF LIABILITY
10.1 Inspection: The Buyer must inspect the Bespoke Goods immediately upon delivery.
10.2 Notification of Defects: Any claim by the Buyer which is based on any manufacturing defect, structural failure, or failure of the Bespoke Goods to correspond with the online Specification must be notified to the Company in Writing (incorporating photographic evidence of the alleged defect) within 3 working days from the date of delivery. If the Buyer does not notify the Company within this period:
- 10.2.1 The Buyer shall be deemed to have accepted the Bespoke Goods in full.
- 10.2.2 The Buyer shall not be entitled to reject the Bespoke Goods.
- 10.2.3 The Company shall have no liability whatsoever for any such defect or failure.
10.3 Company Remedies: Where a valid claim in respect of any defect in the quality or condition of the Bespoke Goods is notified to the Company in accordance with Clause 10.2, the Company shall be entitled, at its sole option, to:
- 10.3.1 Remanufacture and replace the defective Bespoke Goods (or the affected portion thereof) at no cost to the Buyer; or
- 10.3.2 Issue a refund to the Buyer for the price of the defective Bespoke Goods (or a proportionate part of the price). The Company shall have no further liability to the Buyer.
10.4 Excluded Warranties: Except as expressly provided in these Conditions, all warranties, conditions, or other terms implied by statute or common law are excluded to the fullest extent permitted by English law.
10.5 Limitation of Liability: *
- 10.5.1 The Company's total cumulative liability to the Buyer under or in connection with the Contract (whether in contract, tort including negligence, breach of statutory duty, restitution, or otherwise) shall not exceed the total price paid by the Buyer for the specific order of Bespoke Goods giving rise to the claim.
- 10.5.2 The Company shall under no circumstances be liable to the Buyer for any loss of profit, loss of production, loss of business, loss of contracts, depletion of goodwill, or any indirect, special, or consequential loss or damage whatsoever arising out of or in connection with the Contract.
11. FORCE MAJEURE
11.1 The Company shall not be liable to the Buyer or be deemed to be in breach of the Contract by reason of any delay in performing, or any failure to perform, any of the Company's obligations in relation to the Bespoke Goods, if the delay or failure was due to any cause beyond the Company's reasonable control.
11.2 Without prejudice to the generality of Clause 11.1, the following shall be regarded as causes beyond the Company's reasonable control:
- 11.2.1 Act of God, explosion, flood, tempest, fire, or accident.
- 11.2.2 War, threat of war, sabotage, insurrection, civil disturbance, or requisition.
- 11.2.3 Acts, restrictions, regulations, bye-laws, prohibitions, or measures of any kind on the part of any governmental, parliamentary, or local authority.
- 11.2.4 Import or export regulations or embargoes.
- 11.2.5 Strikes, lock-outs, or other industrial actions or trade disputes (whether involving employees of the Company or of a third party).
- 11.2.6 Extreme difficulties or delays in obtaining raw materials, paper pulp, corrugated board, labor, fuel, parts, or machinery.
- 11.2.7 Power failure or breakdown in machinery.
12. GENERAL PROVISIONS
12.1 Severability: If any provision of these Conditions is held by any competent authority to be invalid or unenforceable in whole or in part, the validity of the other provisions of these Conditions and the remainder of the provision in question shall not be affected.
12.2 Third-Party Rights: A person who is not a party to the Contract has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of the Contract.
12.3 Governing Law and Jurisdiction: The Contract, and any dispute or claim arising out of or in connection with it, shall be governed by and construed in accordance with English law, and the Buyer and Company agree to submit to the exclusive jurisdiction of the courts of England and Wales.
